Welcome to Loop! These Terms of Service ("Terms") govern your access to and use of the Loop platform, including our website (feedtheloop.com), mobile applications, and related services (collectively, the "Services"). The Services are provided by Loop Communications Inc. ("Loop," "we," "us," or "our"), a company registered in the State of Delaware. These Terms apply to customers ("Customers," "you," or "your") residing in the United States. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must discontinue use of the Services immediately.
1. Introduction
Loop provides a platform that enables Customers to participate in brand campaigns ("Campaigns"), earn rewards, and engage directly with brands. Customers can scan QR codes or NFC tags on brand products, complete surveys, submit feedback, or participate in other campaign activities to earn cash rewards. Loop may also operate its own Campaigns, as described in Section 4.5. These Terms apply to Customers using the Services in the United States.
2. Eligibility
2.1 General Requirements: To use the Services, you must:
Be at least 18 years old, or if under 18, have the consent of a parent or legal guardian who agrees to these Terms on your behalf.
Provide accurate, complete, and up-to-date information during registration.
Reside in the United States. If you reside outside the United States, you are not eligible to use the Services under these Terms, as Loop’s operations in other countries are governed by localized Terms of Service.
Not be prohibited from using the Services under applicable US laws or regulations.
2.2 State-Specific Restrictions:
Certain US states may impose additional restrictions on the use of the Services, including but not limited to reward programs, data collection, and privacy requirements. If you reside in a state where Loop is not permitted to operate due to such restrictions, you are not eligible to use the Services.
For example, unclaimed rewards may be subject to state escheatment laws (e.g., California’s Unclaimed Property Law), which may require Loop to transfer unclaimed funds to the state after a specified period. Loop will comply with all applicable state laws regarding unclaimed rewards.
2.3 Age Verification and Parental Consent:
During registration, you must provide your date of birth to verify that you are at least 18 years old. If you are under 18, you must provide the email address of a parent or legal guardian, who will be contacted to provide consent on your behalf.
Loop does not knowingly collect personal information from children under 13 years of age, in compliance with the Children’s Online Privacy Protection Act (COPPA). If we discover that a child under 13 has created an Account without verifiable parental consent, we will terminate the Account and delete all associated data.
2.4 Right to Refuse Access: Loop reserves the right to refuse access to the Services to anyone who does not meet these eligibility criteria.
3. Account Registration & Security
3.1 Account Creation: To participate in Campaigns and earn rewards, you must create a Loop account ("Account"). You agree to provide accurate, complete, and up-to-date information during registration, including your name, email address, phone number, and any other required details.
3.2 Account Security: You are responsible for maintaining the confidentiality of your Account credentials (e.g., username, password). You must immediately notify Loop at support@feedtheloop.com if you suspect any unauthorized access to or use of your Account. Loop is not liable for any loss or damage arising from your failure to secure your Account.
3.3 Account Updates: You agree to keep your Account information up-to-date, including your contact details and payment information (if applicable).
3.4 Single Account: You may not create multiple Accounts to game the reward system or for any other prohibited purpose. Violation of this policy may result in Account suspension or termination.
4. How Loop Works (Customer Experience)
4.1 Join Campaigns: You can participate in Campaigns by scanning QR codes or NFC tags on brand products or accessing Campaigns directly through the Loop platform (e.g., via the website or mobile app). Each QR code or NFC tag is single-use—once scanned, it is assigned to your Account and cannot be scanned again.
4.2 Participate: To earn rewards, you must complete two actions:
Scan: Scan a QR code or NFC tag to join a Campaign.
Engage: Complete the engagement challenge specified by the Brand (e.g., a survey, video interview, or other activity). For example, if the challenge is a survey, you must fully complete the survey to earn the reward.
4.3 Earn Rewards: Upon valid completion of both actions (scanning and engaging), you will earn a cash reward set by the Brand (or by Loop, for Loop-operated Campaigns; see Section 4.5). Rewards are assigned immediately and available for withdrawal within 24 hours (usually).
4.4 Withdraw Funds: You can withdraw your rewards via Tilia Payments to a PayPal account or bank account, subject to the minimum withdrawal requirements (see Section 5).
4.5 Loop-Operated Campaigns:
In some cases, Loop may operate its own Campaigns without prior Brand permission (e.g., as part of a pilot or data collection initiative). In such Campaigns, Loop will collect and use the data for its own purposes, including but not limited to platform improvement, market research, and generating insights.
Loop may offer the collected data to the relevant Brand after the Campaign, in aggregated and anonymized form, or in a form adjusted according to your privacy sharing preferences (e.g., opt-in settings). If you opt out of sharing personal data, only anonymized data will be offered to the Brand.
By participating in Loop-operated Campaigns, you consent to Loop’s use of your data as described in this section and in the Privacy Policy (Section 7).
5. Rewards & Payments
5.1 Earning Rewards:
You earn cash rewards for valid participation in Campaigns, which requires both scanning a QR code or NFC tag and completing the engagement challenge (e.g., a survey, video interview). The reward amount is set by the Brand (or by Loop, for Loop-operated Campaigns; see Section 4.5).
Rewards are assigned immediately upon valid completion and are available for withdrawal within 24 hours (usually). Loop reserves the right to review engagements for validity (e.g., ensuring no fraudulent activity) before making rewards available.
Unclaimed Rewards: Rewards that remain unclaimed for 12 months after being earned may be forfeited. Loop will notify you by text message and email at least 30 days before forfeiture.
Minimum Withdrawal: Your first withdrawal must meet a minimum of $5. Subsequent withdrawals have no minimum amount.
Taxes: You are responsible for any taxes associated with earning rewards through Loop. Loop may issue tax forms (e.g., 1099-MISC for US residents) as required by law. If you are a California resident, you may be subject to additional tax reporting requirements under state law.
5.2 Payment Processing via Tilia:
All reward withdrawals are processed through Tilia Payments, a third-party payment processor. By using Loop, you agree to Tilia’s Terms of Service (https://www.tilia.io/legal/terms) and Privacy Policy (https://www.tilia.io/legal/privacy).
Tilia supports withdrawals to PayPal accounts or bank accounts only. Loop does not store or process payment information directly—Tilia handles all payment data, processing, and fraud prevention.
Loop is not responsible for delays, errors, or issues caused by Tilia Payments, including but not limited to failed transactions, account freezes, or disputes. You must resolve such issues directly with Tilia.
5.3 Reward Disputes and Verification:
If you believe you have not received a reward for a valid Campaign engagement, you may contact Loop at support@feedtheloop.com within 30 days of the engagement to request a review. Loop will investigate the issue and respond within 10 business days.
Loop’s determination of reward eligibility is final. Factors that may result in reward denial include incomplete engagement (e.g., not fully completing a survey), fraudulent activity (e.g., using bots), or violation of these Terms.
5.4 Limitation on Reward Claims:
Any claims or disputes regarding rewards must be submitted to Loop within 90 days of the date the reward was earned. After this period, you waive any right to claim or dispute the reward, except as required by applicable law (e.g., California’s Unclaimed Property Law).
6. Customer Responsibilities
6.1 Honest Participation: You agree to provide honest, accurate, and complete feedback when participating in Campaigns. Falsifying data, submitting misleading information, or engaging in fraudulent activity (e.g., using bots, creating fake accounts) is strictly prohibited.
6.2 Platform Use: You agree not to misuse the Services, including but not limited to:
Attempting to game the reward system (e.g., multiple accounts, automated submissions, scanning the same QR code with multiple Accounts).
Posting offensive, defamatory, harassing, or illegal content (e.g., hate speech, explicit material) in Campaign responses.
Exploiting vulnerabilities in the platform or attempting to reverse-engineer Loop’s systems.
6.3 Community Guidelines: You agree to follow Loop’s community guidelines, including respecting other users and refraining from harassment, abuse, or inappropriate behavior.
6.4 Compliance with Laws: You agree to use the Services in compliance with all applicable US federal, state, and local laws, including data protection laws (e.g., the California Consumer Privacy Act).
6.5 Consequences of Violation: Violation of these responsibilities may result in Account suspension, termination, forfeiture of rewards, or legal action, at Loop’s sole discretion.
7. Privacy Policy
7.1 Data We Collect:
Account Information: Name, email address, phone number, age, location, and other details provided during registration or Account updates.
Engagement Data: Survey responses, feedback, video interviews, user-generated content (UGC), participation history, and engagement metrics (e.g., time spent, completion rates).
Device Information: IP address, browser type, device type, operating system, and usage logs (e.g., pages visited, time spent).
Payment Data: Loop does not store payment data directly. Tilia Payments collects and processes payment information (e.g., PayPal account, bank account details) for reward withdrawals.
7.2 How We Use Data:
To facilitate Campaign participation and process rewards.
To provide Brands with aggregated and anonymized insights (e.g., “70% of customers are female, 25-34, buy health bars weekly”). For Loop-operated Campaigns (Section 4.5), Loop may use the data for its own purposes (e.g., platform improvement, market research) before offering it to the Brand.
To improve the Services, including platform functionality, user experience, and Campaign effectiveness.
To communicate with you, including sending Campaign updates, reward notifications, and marketing emails (with your consent).
To comply with legal and regulatory requirements (e.g., tax reporting, anti-fraud measures).
7.3 How We Share Data:
With Brands: Aggregated and anonymized insights from Campaigns are shared with Brands. Personal data (e.g., name, email) is shared with Brands only according to your privacy sharing preferences for that Brand’s Loop (e.g., opt-in settings). If you opt out of sharing personal data, only anonymized data will be provided to the Brand. For Loop-operated Campaigns (Section 4.5), Loop may offer the data to the Brand after using it for its own purposes, in aggregated and anonymized form or adjusted according to your privacy settings.
With Tilia Payments: Payment information is shared with Tilia Payments for reward processing and fraud prevention, in accordance with Tilia’s Terms of Service and Privacy Policy.
With Service Providers: We may share data with third-party service providers (e.g., cloud hosting, analytics) to operate the Services, but only under strict confidentiality agreements.
With Legal Authorities: We may share data if required by law, to comply with legal processes (e.g., subpoenas), or to enforce our Terms (e.g., investigating fraud).
Business Transfers: In the event of a merger, acquisition, or sale of Loop’s assets, user data may be transferred to the acquiring entity, with notice to you.
7.4 Data Security:
We use industry-standard encryption (e.g., SSL/TLS) and secure servers to protect your data during transmission and storage.
Despite our efforts, no system is 100% secure. Loop is not liable for unauthorized access, data breaches, or other security incidents beyond our reasonable control. You share data at your own risk.
In the event of a data breach, Loop will notify affected users within 72 hours (or as required by law) and take reasonable steps to mitigate harm.
7.5 User Rights:
Access & Update: View and update your Account information through your Account settings.
Delete Account: Request Account deletion at any time by contacting support@feedtheloop.com. Upon deletion, your personal data will be removed, except as required by law (e.g., tax records).
Data Portability: Request a copy of your data in a machine-readable format by contacting support@feedtheloop.com.
Opt-Out: Opt-out of non-essential data uses (e.g., marketing emails) through your privacy settings or by unsubscribing. You can also adjust your privacy sharing preferences for each Brand’s Loop to control what personal data is shared.
CCPA (California Residents): If you reside in California, you have the right to:
Know what personal data we collect, disclose, or sell about you.
Request deletion of your personal data, subject to certain exceptions (e.g., legal requirements).
Opt-out of the sale of your personal data (Loop does not sell personal data).
Not be discriminated against for exercising your CCPA rights. Contact support@feedtheloop.com to exercise these rights. Loop will respond to verifiable requests within 45 days, as required by the CCPA.
8. Intellectual Property
8.1 Loop’s Intellectual Property:
The Services, including the Loop platform, website, mobile app, trademarks, logos, and all content created by Loop (e.g., Campaign templates, user interface), are the exclusive property of Loop Communications Inc. and are protected by US copyright, trademark, and other intellectual property laws.
You may not copy, modify, distribute, or create derivative works of Loop’s intellectual property without prior written consent.
8.2 User-Generated Content (UGC):
You retain ownership of content you submit through Campaigns (e.g., survey responses, video interviews, UGC), but you grant Loop and the relevant Brand a non-exclusive, worldwide, royalty-free, perpetual license to use, store, display, and analyze such content for the purposes of operating the Services, providing insights to Brands, and improving the platform. For Loop-operated Campaigns (Section 4.5), this license includes Loop’s use of the content for its own purposes (e.g., market research) before offering it to the Brand.
You represent and warrant that your UGC does not infringe on any third-party rights (e.g., copyright, privacy) and is not illegal, offensive, or defamatory. Loop may remove UGC that violates these Terms.
8.3 Content Moderation:
Loop reserves the right to review, moderate, and remove any UGC submitted through Campaigns at its sole discretion, including but not limited to content that is incomplete, of poor quality, or otherwise does not meet Loop’s standards for Campaign participation, even if such content does not violate these Terms.
Loop is not obligated to notify you of content removal or provide a reason for removal, though we may do so at our discretion.
9. Prohibited Activities
You may not:
Attempt to game the reward system (e.g., using bots, fake accounts, automated submissions, scanning the same QR code with multiple Accounts).
Submit false, misleading, or fraudulent data in Campaigns.
Post offensive, defamatory, harassing, or illegal content (e.g., hate speech, explicit material) in Campaign responses.
Exploit vulnerabilities in the Services, attempt to reverse-engineer Loop’s systems, or engage in any hacking or unauthorized access.
Use the Services to violate any applicable US federal, state, or local laws, including data protection laws (e.g., the California Consumer Privacy Act).
Impersonate another person or entity, or misrepresent your affiliation with Loop or any Brand.
Interfere with the operation of the Services (e.g., introducing viruses, overloading servers). Breaches of these prohibitions may result in Account suspension, termination, forfeiture of rewards, or legal action, at Loop’s sole discretion.
10. Termination of Account
10.1 By Loop: Loop reserves the right to suspend or terminate your Account, or restrict your access to the Services, at its sole discretion, if:
You violate these Terms or engage in prohibited activities (Section 9).
You engage in fraudulent or illegal behavior (e.g., fake accounts, false data).
We are required to do so by law or to protect the rights, safety, or property of Loop, its users, or third parties. Upon termination, you will lose access to your Account, and any unclaimed rewards may be forfeited.
10.2 By You: You may terminate your Account at any time by contacting support@feedtheloop.com. Upon termination, your personal data will be deleted, except as required by law (e.g., tax records).
10.3 Effect of Termination: Termination does not relieve you of any obligations incurred prior to termination (e.g., compliance with data usage rules).
11. Disclaimers & Limitation of Liability
11.1 As-Is Basis: The Services are provided on an “as-is” and “as-available” basis, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Loop does not guarantee that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.
11.2 Third-Party Services: Loop uses third-party services, including Tilia Payments for reward withdrawals. Loop is not responsible for any issues, delays, errors, or damages arising from third-party services, including but not limited to payment failures, account freezes, or data breaches by third parties. You must resolve such issues directly with the third-party provider (e.g., Tilia).
11.3 Accuracy of Data: While Loop takes reasonable steps to ensure the accuracy of data collected through Campaigns, we do not guarantee the accuracy, completeness, or reliability of user-submitted data (e.g., survey responses).
11.4 Accuracy of Campaign Information: Loop is not responsible for the accuracy, completeness, or reliability of Campaign information provided by Brands (e.g., reward amounts, Campaign details). Any disputes regarding Campaign information must be resolved directly with the Brand.
11.5 Third-Party Links: The Services may contain links to third-party websites or services (e.g., Tilia Payments, Brand websites). Loop is not responsible for the content, accuracy, or practices of these third-party sites, and you access them at your own risk.
11.6 Service Availability: Loop does not guarantee that the Services will be available at all times. We may suspend or interrupt the Services for maintenance, upgrades, or unforeseen circumstances (e.g., technical issues, security threats) without prior notice. Loop is not liable for any damages resulting from such interruptions.
11.7 Limitation of Liability: To the maximum extent permitted by law, Loop, its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Services, even if Loop has been advised of the possibility of such damages. Loop’s total liability to you for any claim arising under these Terms will not exceed the amount of rewards earned by you in the 12 months preceding the claim.
11.8 Force Majeure: Loop is not liable for any failure to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, or internet outages.
12. Accessibility Compliance
12.1 Commitment to Accessibility: Loop is committed to ensuring the Services are accessible to users with disabilities, in compliance with the Americans with Disabilities Act (ADA) and other applicable US accessibility laws. We strive to make the Loop platform accessible to all users, including those using assistive technologies (e.g., screen readers, keyboard navigation).
12.2 Accessibility Features: The Services are designed to meet Web Content Accessibility Guidelines (WCAG) 2.1 Level AA standards, to the extent feasible. Features may include text alternatives for images, keyboard navigation support, and adjustable text sizes.
12.3 Accessibility Support: If you encounter any accessibility barriers while using the Services, please contact us at support@feedtheloop.com. We will make reasonable efforts to address your concerns and improve accessibility.
13. Indemnification
13.1 Your Obligation to Indemnify: You agree to indemnify, defend, and hold harmless Loop, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in connection with:
Your use of the Services, including any violation of these Terms.
Your submission of UGC that infringes on any third-party rights (e.g., copyright, privacy) or violates applicable laws.
Your violation of any applicable US federal, state, or local laws, including data protection laws (e.g., the California Consumer Privacy Act). 13.2 Loop’s Right to Defend: Loop reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with Loop in asserting any available defenses.
14. Dispute Resolution
14.1 Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
14.2 Arbitration: Any disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration will take place in Wilmington, Delaware, unless otherwise agreed by the parties. The arbitrator’s decision will be final and binding, and may be enforced in any court of competent jurisdiction.
14.3 Waiver of Class Actions: You agree to resolve disputes on an individual basis and waive any right to participate in a class action, class arbitration, or representative action against Loop.
14.4 Exceptions: Notwithstanding the above, either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm (e.g., intellectual property infringement, data misuse).
14.5 Informal Resolution: Before initiating arbitration, you agree to attempt to resolve the dispute informally by contacting Loop at support@feedtheloop.com. If the dispute is not resolved within 30 days, either party may proceed to arbitration.
15. Changes to These Terms
15.1 Updates: Loop may modify these Terms from time to time to reflect changes in the Services, legal requirements, or business practices. We will notify you of significant changes via email or a prominent notice on the Loop platform at least 30 days before the changes take effect (unless immediate changes are required by law).
15.2 Acceptance: Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must discontinue use of the Services and terminate your Account.
16. Miscellaneous
16.1 Entire Agreement: These Terms, together with the Privacy Policy and any other agreements referenced herein (e.g., Tilia’s Terms of Service), constitute the entire agreement between you and Loop regarding the Services, superseding any prior agreements or understandings.
16.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
16.3 Waiver: Loop’s failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
16.4 Assignment: You may not assign your rights or obligations under these Terms without Loop’s prior written consent. Loop may assign its rights and obligations to a third party (e.g., in the event of a merger or acquisition) with notice to you.
16.5 No Agency: These Terms do not create an agency, partnership, joint venture, or employment relationship between you and Loop.
16.6 Electronic Communications Consent:
By using the Services, you consent to receive electronic communications from Loop, including emails, text messages, and in-app notifications, regarding your Account, Campaigns, rewards, and updates to these Terms or our Privacy Policy.
You may opt-out of non-essential communications (e.g., marketing emails) through your Account settings or by unsubscribing, but you cannot opt-out of essential communications (e.g., reward notifications, Account security alerts).
You are responsible for ensuring your contact information (e.g., email address, phone number) is up-to-date to receive these communications. Standard messaging rates may apply for text messages, depending on your mobile carrier.
